• The state decides whether to approve a filing. We don't guarantee approval or that a name is available.
• You can file directly with your state for only the state's own fee. Our fee is for doing it for you.

1. Not a government website

standardfilings.com is operated by Standard Business Services LLC, doing business as America LLC Filing, a private document-preparation and filing company at 1317 Edgewater Drive, Orlando, FL 32804. We are not affiliated with, endorsed by, sponsored by, or connected to any Secretary of State or state filing office, the Internal Revenue Service (IRS), the U.S. Department of the Treasury, or any other federal or state government agency.

2. The free option, stated plainly

Every filing we help with can be made directly with the relevant government agency without using our service:

• LLC formations can be filed directly with your state's Secretary of State (or equivalent office) for only the state's own fee.

Our fees are for our services: preparing your filing from your answers, checking it for common errors, submitting it on your behalf, and answering your questions by email until it's complete.

3. How we file on your behalf

For state filings, you sign the filing electronically as the LLC's organizer (or authorized person) and authorize us to submit it to the state for you. In a state that requires an original ink signature, we may sign as organizer or authorized person at your direction; that gives us no ownership or management role in your company. We never act as a government official, and the state, not us, decides whether to approve the filing.

4. No guarantee of approval or name availability

We check your chosen name against the state's records before we file, but the state makes the final decision on names and filings. We don't guarantee that a name is available or that a filing will be approved, and we never promise how long the state will take. What we do promise if a filing is rejected is in our guarantee.

5. Not a law firm or accounting firm

America LLC Filing is not a law firm or an accounting firm. We do not provide legal, tax, or financial advice, and using our service does not create an attorney-client or accountant-client relationship. The optional operating agreement is a self-help document generated from your answers; it is not reviewed for your situation and is not a substitute for the advice of an attorney. Information on this website is general in nature; for advice about your situation, consult a licensed attorney or tax professional.

6. Fees and refunds

Our service fees are always shown before you pay, separately from any government fee. Government fees are passed through at cost. Until we submit your filing to the state, you can cancel for a full refund of everything, including the state fee.
