Arizona · Form L010 (Rev. 10/2020)
Arizona Articles of Organization for an LLC
Form L010 is the Arizona Corporation Commission's articles of organization for a limited liability company. A complete filing is more than the one form: it also needs a Member Structure Attachment (L041) or a Manager Structure Attachment (L040), and the statutory agent's written acceptance of the appointment (form M002, or acceptance through the agent's own Arizona Business Center dashboard when the filing is made online). The state's filing fee is $50.
Most Arizona rejections come from those extra pieces rather than the articles themselves: a missing attachment, or no agent acceptance on file when the examiner reaches the filing. After approval, Arizona also requires notice of the filing to be published within 60 days, unless the statutory agent's street address is in Maricopa or Pima County.

What Form L010 Asks For
- 1.1. Entity typeLimited liability company or professional limited liability company. Check one. A professional LLC is for licensed professions and has its own naming rules.
- 2.2. Entity nameThe exact name, with Limited Liability Company, Limited Company, LLC, L.L.C., LC or L.C. A professional LLC uses Professional Limited Liability Company, PLLC, P.L.L.C., PLC or P.L.C. The name cannot contain association, corporation or incorporated, and banking words such as bank, trust or credit union need prior approval from the Department of Financial Institutions.
- 3.3. Professional servicesOnly for a professional LLC: a short description of the professional services it will provide, such as law, accounting or medical.
- 4.4.1 Statutory agent name and street addressAn individual who is a permanent, full-time Arizona resident, or an entity authorized to do business in Arizona, with a physical street address in Arizona (no PO box). The LLC cannot be its own statutory agent, but a member or manager can serve as an individual.
- 5.4.2 Statutory agent mailing addressCan be a PO box, or the same as the street address. For an individual agent it must be in Arizona. Official notices from the Commission are mailed here, and the address is public on the internet.
- 6.4.3 Statutory Agent AcceptanceThe agent must accept the appointment in writing, on form M002 filed with the articles or, for online filings, through the agent's Arizona Business Center dashboard. If no acceptance is in the Commission's system when the articles are examined, they are rejected.
- 7.5. Principal addressEither the same as the statutory agent's street address, or a separate address, which can be outside Arizona. It is public on the internet.
- 8.6 or 7. Management structureCheck manager-managed (6) or member-managed (7), not both. This choice decides which attachment goes with the articles.
- 9.Member Structure Attachment (L041) or Manager Structure Attachment (L040)Member-managed: the name and address of every member. Manager-managed: the name and address of every manager, plus every member who owns 20% or more. These names and addresses become public. The articles are rejected without the attachment.
- 10.Organizer signature, printed name and dateThe organizer signs under penalty of law that the information is true. Organizers can be individuals or entities and need not be members or managers, so a filing service can sign.
Why Arizona Rejects It
- No Member Structure Attachment or Manager Structure Attachment, or both management boxes checked.
- No statutory agent acceptance in the Commission's system when the articles are examined.
- A statutory agent street address that is a PO box or outside Arizona, an individual agent who is not an Arizona resident, or the LLC named as its own agent.
- A name without a proper LLC identifier, one containing association, corporation or incorporated, or a banking word filed without the Department of Financial Institutions' approval.
- A professional LLC filed without a description of its professional services.
A rejection costs days, sometimes a second fee, and in a few states the name you wanted. Our name check and field review happen before the form goes to eCorp, which is most of what you pay us for.
After the State Files It
- The Commission approves the articles and sends an approval letter that includes publication instructions. Regular processing takes about 15 business days after the agent accepts; the Commission posts current processing times weekly.
- Arizona offers faster handling for a fee: $35 expedite (about 3 to 5 business days), $100 next-day, $200 same-day and $400 two-hour. The same-day and next-day clock does not start until the statutory agent has accepted the appointment.
- Within 60 days after the articles are filed, notice of the filing must be published. If the statutory agent's street address is in Maricopa or Pima County, the Commission posts the notice on its own website at no charge. Otherwise it must run in a newspaper of general circulation in that county for three consecutive publications, at the newspaper's rates. The Commission's instructions say not to publish until it has approved the articles. An affidavit of publication may be filed with the Commission.
- Arizona LLCs do not file annual reports. Under a May 2025 Commission policy, an LLC that has made no filings in the past two years receives a notice each January asking it to confirm it still exists; it must answer within 60 days or administrative dissolution begins.

Form L010 Questions
What does a complete Arizona LLC filing include?+
The articles of organization (L010), either the Member Structure Attachment (L041) or the Manager Structure Attachment (L040), and the statutory agent's acceptance (M002, or the agent's acceptance through the Arizona Business Center online). Paper filings also go with a cover sheet. Operating agreements are not filed with the Commission.
Does the statutory agent have to sign?+
Yes. Arizona requires the agent to accept the appointment in writing. On paper that is form M002; online, the agent accepts through their own Arizona Business Center dashboard. The Commission does not examine the articles as complete until the acceptance is in its system.
Do I have to publish in a newspaper?+
It depends on where the statutory agent's street address is. In Maricopa or Pima County, the Commission publishes the notice on its website and no newspaper is needed. In any other county, notice runs in a local newspaper three times within 60 days of filing, arranged and paid for by you directly with the newspaper.
What does it cost to have you file it?+
One flat service fee plus Arizona filing & processing, which covers the state's $50 fee and the card and portal processing that goes with it. Both lines show on the checkout page before you pay. Newspaper publication, where it applies, is paid to the newspaper later and is not part of formation.
