Colorado Articles of Organization for an LLC
The articles of organization are the document that creates a Colorado limited liability company. They are filed with the Colorado Secretary of State under sections 7-90-301 and 7-80-204 of the Colorado Revised Statutes, for a $50 fee, and only online: the Secretary of State does not accept paper articles. Unless a delayed effective date is chosen, the filing takes effect as soon as it is paid.
The articles do not list members or managers by name; they say only how the company is managed. The names that do appear are the registered agent, the person or company forming the LLC, and the individual who submits the document, each with an address that is public. Colorado law also requires written consent from anyone whose name or address is used in the filing. That consent stays in the company's records and is not sent to the state.

What Articles of Organization Asks For
- 1.LLC nameMust be distinguishable from names on the Secretary of State's records and include limited liability company, ltd. liability company, limited liability co., ltd. liability co., limited, l.l.c., llc or ltd. Capitalization does not matter, but punctuation does.
- 2.Principal office street addressThe company's main address. It must be a street address, and it is public.
- 3.Principal office mailing addressCan be a PO box, and is often the same as the street address.
- 4.Registered agent nameAn individual 18 or older who lives in Colorado, or an entity. The LLC can serve as its own registered agent.
- 5.Registered agent street and mailing addressesA Colorado street address where the agent is located, and a mailing address, which can be a PO box but must also be in Colorado.
- 6.Registered agent consentThe filer affirms that the agent has agreed to serve. The filed articles state that the agent has agreed to the appointment.
- 7.ManagementMembers or managers. The articles also state that the company has at least one member.
- 8.Person(s) forming the LLCName and address of each person forming the company: an individual 18 or older, or an entity. The person forming does not have to be a member, and the choice does not determine ownership. A filing service can be the person forming.
- 9.Additional information (optional)Uncommon. Attachments are viewable on the Secretary of State's website; up to five files, 10 MB in total.
- 10.Delayed effective date (optional)Up to 90 days out. The Secretary of State notes it is commonly used for filings late in the year or when the same document is filed in several states. Without one, the filing takes effect immediately after payment.
- 11.Individual(s) causing the document to be filedThe name and address of at least one individual, usually the person filling out the form, who affirms under penalty of perjury that the facts are true. These names and addresses are public.
- 12.Notifications and paymentOptional email or text reminders from the Secretary of State, then payment by credit card, debit card or prepaid account. Checks and cash are not accepted.
Why Colorado Rejects It
- A name that is not distinguishable from one already on the Secretary of State's records, or that lacks one of the required terms.
- A registered agent who does not live in Colorado, an individual agent under 18, or an agent street address outside Colorado.
- A PO box given as the principal office or the agent's street address, where a street address is required.
- An agent named without having agreed to serve, which the filer has to affirm.
- A delayed effective date more than 90 days out.
A rejection costs days, sometimes a second fee, and in a few states the name you wanted. Our name check and field review happen before the form goes to the Colorado Secretary of State's online business filing system, which is most of what you pay us for.
After the State Files It
- Online articles take effect immediately after payment unless a delayed effective date was set. The Secretary of State assigns the company an ID number, and the filed document and a certificate of good standing can be downloaded free from the Secretary of State's website.
- Colorado has no expedite for online filings. The $150 expedite on its fee schedule applies only to paper filings.
- Every year the LLC files a Periodic Report for $25. The report month is the company's formation anniversary month, and the window opens two months before it and closes at the end of the second month after it. After that the company becomes Delinquent and a $50 late penalty applies.
- Colorado has no newspaper publication requirement for LLCs.

Articles of Organization Questions
Can Colorado articles of organization be filed on paper?+
No. The Secretary of State accepts articles of organization only through its online filing system, paid by credit card, debit card or prepaid account. The state's fee is $50 whether you file yourself or we file for you.
Are the owners listed on Colorado's articles?+
No. The articles say only whether the company is managed by its members or by managers. The public names are the registered agent, the person forming the LLC and the individual who submits the filing, and a filing service can fill those last two roles.
Can my LLC be its own registered agent in Colorado?+
Yes. The Secretary of State's checklist says the LLC can serve as its own registered agent. An individual agent must be 18 or older and live in Colorado, and every agent needs a Colorado street address.
What does it cost to have you file it?+
One flat service fee plus Colorado filing & processing, which covers the state's $50 fee and the card and portal processing that goes with it. Both lines show on the checkout page before you pay. The $25 Periodic Report is paid to the state later and is not part of formation.
