New Mexico Articles of Organization for an LLC
The articles of organization are the document that creates a New Mexico limited liability company under the state's Limited Liability Company Act (Chapter 53, Article 19 NMSA 1978). They are filed with the Secretary of State's Business Services Division, and only online: the office no longer accepts paper filings for business applications. The state's fee is $50 and it is non-refundable.
The online form is a step-by-step wizard on the Secretary of State's business portal, and it cannot be finished without one document prepared in advance: the registered agent's signed Statement of Acceptance, uploaded as a PDF. A rejected filing means a new filing and a new fee, so most of the work is getting the agent paperwork and the name right before submitting.

What Articles of Organization Asks For
- 1.Name of the organizationThe LLC's name, which must include an LLC designator such as LLC and be distinguishable from names already on the Secretary of State's records. The form also asks whether the company will do business in New Mexico under a different name.
- 2.Principal place of business and mailing addressThe street address of the company's main place of business and, if different, a mailing address.
- 3.Registered agentThe name of the initial registered agent, an individual or a company, with a street address in New Mexico and a mailing address. The filer certifies that the agent has agreed to serve.
- 4.Registered Agent Statement of Acceptance (PDF upload)A separate form the agent signs, accepting the appointment either individually or as a representative of an organization (with its New Mexico business ID). It has to be uploaded as a PDF before the filing can be submitted.
- 5.DurationHow long the company is to exist. A company with no set end date shows as perpetual on the filed articles.
- 6.Purpose statementA short statement of the purpose for which the company is organized.
- 7.Statement of management statusWhether management is vested in one or more managers or stays with the members, and whether the company is a single-member LLC.
- 8.Member and manager informationA table for the title, name and address of each manager or member listed. Whatever is entered here appears on the filed articles.
- 9.Additional articles (optional)Any other provisions the signers choose to include, such as rules for the company's internal affairs. Usually left blank.
- 10.Effective dateBy default the formation is effective when the Secretary of State files it.
- 11.Organizer and signerThe name and address of each organizer, which can be an individual or an organization, and the signer's name, capacity and date. A filing service can act as organizer and signer.
Why New Mexico Rejects It
- A name that is not distinguishable from an existing New Mexico entity or reserved name, or that lacks an LLC designator.
- No Registered Agent Statement of Acceptance uploaded, or one that is unsigned or names a different company.
- A registered agent without a street address in New Mexico.
- A filing sent back for correction and not resubmitted within 90 days. It is rejected automatically, and a new filing and fee are required.
- A filing sent back for correction repeatedly, which the Secretary of State may then reject outright.
A rejection costs days, sometimes a second fee, and in a few states the name you wanted. Our name check and field review happen before the form goes to the New Mexico Secretary of State's Business Portal, which is most of what you pay us for.
After the State Files It
- The Secretary of State emails only once the filing has been approved, rejected or sent back for correction. The filed articles and the certificate are then available to download from the filer's work queue on the business portal. A standard processing time is not published.
- The Secretary of State does not publish an expedite option for LLC articles of organization.
- New Mexico has no newspaper publication requirement for LLCs.
- New Mexico LLCs do not file an annual report with the Secretary of State. A company doing business in the state registers with the Taxation and Revenue Department and files gross receipts tax returns, which are due even in periods with no receipts.
