Virginia Articles of Organization for an LLC (Form LLC1011)

Form LLC1011 is the Virginia State Corporation Commission's articles of organization for a limited liability company. It is filed with the Clerk's Office for a $100 fee, almost always online through the Clerk's Information System (CIS). When the articles are filed on CIS without an uploaded document, the system builds the filing from the answers given and approval comes in real time.

The form asks for no members or managers; the SCC does not keep a record of them. Its strict part is the registered agent. Virginia does not let just any resident serve: an individual agent must be a Virginia resident who is a member or manager of the LLC (or in a related capacity) or a member of the Virginia State Bar, and otherwise the agent must be a business entity authorized in Virginia. The agent's qualification is a required checkbox on the form.

What Form LLC1011 Asks For

  1. 1.Section I: LLC nameMust contain Limited Liability Company, Limited Company, LLC, L.L.C., LC or L.C., and be different from every name on the Commission's records. It cannot refer to a different business type, such as a corporation, or suggest a service the company will not provide, such as banking. CIS runs a name availability check before the filing can continue.
  2. 2.Section I: LLC contact number and email (optional)A phone number and email for the company. Both are optional on the paper form.
  3. 3.Section II: Principal office addressThe complete physical address of the company's principal executive office, with a street number and name. A PO box is not accepted.
  4. 4.Section III: Registered agentThe name of the initial registered agent, with an optional email. The LLC cannot act as its own registered agent and can have only one.
  5. 5.Section IV: Registered agent qualificationOne box must be checked. An individual agent must be a Virginia resident who is a member of the Virginia State Bar, a member or manager of the LLC, or an officer, director, general partner, trustee, member or manager of an entity that is itself a member or manager of the LLC. The alternative is a corporation, LLC or registered LLP authorized to do business in Virginia.
  6. 6.Section V: Registered office addressThe Virginia physical address of the agent's business office, with the county or independent city it is in. A virtual office, mail drop or commercial mail receiving agency is not accepted, and a PO box only in a town or city with a population under 2,000.
  7. 7.Section VI: Organizer signaturesAll organizers sign, with printed name and date. A business entity can be the organizer if the signature block names the entity and the individual signing for it, with their title. Signing a document known to be false is a Class 1 misdemeanor.
  8. 8.Online-only questions on CISCIS also asks for an industry code (most choose 0 - General), the duration (most choose perpetual) and the management structure. It offers an optional upload of your own articles, which sends the filing to staff review instead of real-time approval.

Why Virginia Rejects It

  • Answers entered on CIS that do not match the articles uploaded with them.
  • Name errors: a missing LLC identifier, a name already on the Commission's records, or wording that implies another type of entity or a service the company will not provide.
  • The wrong form, such as the general LLC articles used for a professional LLC.
  • Documents other than the articles of organization uploaded with the filing.
  • Missing information, including incomplete addresses, or a registered office at a virtual office, mail drop or PO box.

A rejection costs days, sometimes a second fee, and in a few states the name you wanted. Our name check and field review happen before the form goes to SCC Clerk's Information System (CIS), which is most of what you pay us for.

After the State Files It

  • On CIS, filings without an uploaded document are approved in real time, and the SCC sends a receipt email and an acceptance email after checkout. Uploading your own articles adds about five business days for staff review. Paper filings receive an acceptance letter once approved.
  • The SCC offers expedited service for online filings only: next business day for $50 or $100, depending on the filing, or same day for $200. Paper submissions cannot be expedited.
  • Virginia has no newspaper publication requirement for LLCs.
  • Each year the company pays the SCC's $50 annual registration fee, due by the end of the anniversary month, starting the year after formation. A $25 penalty applies if it is late, and an LLC that has not paid by the last day of the third month after the due date is canceled.

Form LLC1011 Questions

Can Form LLC1011 be filed online?+

Yes. The SCC's Clerk's Information System (CIS) takes the same information as the paper form, and filings that do not include an uploaded document are approved in real time. Paper filings can be mailed or delivered to the Clerk's Office in Richmond. The $100 fee is the same either way.

Who can be the registered agent for a Virginia LLC?+

Either a Virginia resident who is a member or manager of the LLC (or holds a related role in an entity that is one), or a member of the Virginia State Bar, or a business entity authorized to do business in Virginia. A Virginia resident with no role in the company cannot serve as an individual agent. The registered office must be the agent's own Virginia business office.

Does Virginia list the members on the articles?+

No. Form LLC1011 asks only for the organizers' signatures and the registered agent. The SCC states that it does not keep a record of an LLC's members or managers.

What does it cost to have you file it?+

One flat service fee plus Virginia filing & processing, which covers the state's $100 fee and the card and portal processing that goes with it. Both lines show on the checkout page before you pay. The $50 annual registration fee is paid to the SCC each year and is not part of formation.
