Wyoming Articles of Organization for an LLC
The articles of organization are the document that creates a Wyoming limited liability company. They are filed with the Wyoming Secretary of State's Business Division, usually online through WyoBiz, for a $100 fee. An online filing takes effect as soon as it is completed, and the copy, certificate and receipt can be downloaded right after payment.
The articles themselves are short: a name, a registered agent, two addresses and a signature. What sets Wyoming apart is the second page, a Consent to Appointment by Registered Agent that the agent signs, and a rule that names beginning with the letter A cannot be filed online at all. Those go on paper for manual review, which takes up to 15 business days.

What Articles of Organization Asks For
- 1.1. Name of the limited liability companyMust include Limited Liability Company, LLC, L.L.C., Limited Company, LC, L.C., Ltd. Liability Company, Ltd. Liability Co. or Limited Liability Co., and must pass the Secretary of State's name availability search. Names beginning with the letter A are filed on paper for manual review.
- 2.2. Close limited liability company electionA checkbox to make the company a close LLC under W.S. 17-25-101 through 17-25-109, which has its own supplement form. Left unchecked for a standard LLC.
- 3.3. Registered agent name and physical addressAn individual who lives in Wyoming, or a business entity authorized to do business there, with a physical Wyoming address. A suite number has to be included if there is one. A drop box is not accepted, and a PO box only in addition to the physical address.
- 4.4. Mailing addressWhere the company receives mail from the Secretary of State.
- 5.5. Principal office addressThe street address of the company's main office.
- 6.6. CertificationA required checkbox consenting, on the company's behalf, to accept electronic service of process at the email address on the form in the circumstances set out in W.S. 17-28-104(e). This is why the form requires an email address.
- 7.Organizer signature, date and printed nameThe articles are executed by an organizer. There is no organizer address field, and a filing service can sign as organizer.
- 8.Contact person, daytime phone and emailThe email is required. It receives the state's reminders, notices and filing evidence, including the annual report notice.
- 9.Consent to Appointment by Registered AgentA separate page signed by the agent: the agent's name and registered office, the company's name, a certification of compliance with W.S. 17-28-101 through 17-28-111, and the signer's printed name, title, phone, email and any separate mailing address.
Why Wyoming Rejects It
- A name that is not available on the Secretary of State's records, or that lacks one of the accepted LLC endings.
- A registered agent address that is a drop box, a PO box alone, or not in Wyoming, or that leaves off the suite number.
- A missing or unsigned registered agent consent page.
- No email address, or the electronic service certification box left unchecked. The state does not process incomplete forms.
- An existing registered agent whose address on the form does not match the state's records, filed without the Registered Agent Information Update form the consent page calls for.
A rejection costs days, sometimes a second fee, and in a few states the name you wanted. Our name check and field review happen before the form goes to WyoBiz, which is most of what you pay us for.
After the State Files It
- Online filings are active as soon as the filing is completed, and the copy, certificate and receipt are available to download after payment. Paper filings are processed in the order received, within 15 business days, and the state emails the copy, certificate and receipt.
- The Secretary of State's fee schedule effective July 1, 2026 lists an expedited filing service: $700 for next business day and $1,400 for same business day. It is the state's option for paper filings; an online filing is already immediate.
- Wyoming has no newspaper publication requirement for LLCs.
- Every year the company owes an annual report and license tax, due on the first day of its anniversary month: $60, or two-tenths of a mill on the dollar of the company's Wyoming assets if that is greater. A company that has not paid within 60 days of the due date is subject to dissolution.

Articles of Organization Questions
Can a Wyoming LLC whose name starts with A be filed online?+
No. WyoBiz sends any entity name beginning with the letter A to paper filing for manual review, because of the state's name availability rules. Paper filings are processed in the order received and take up to 15 business days.
Does the registered agent have to sign?+
Yes. Wyoming requires a Consent to Appointment by Registered Agent, signed by the agent, with the agent's phone, email and Wyoming physical address. An individual who lives in Wyoming can serve as the agent for their own company.
Do the articles list the members?+
No. The articles name the organizer, a contact person and the registered agent, but no members or managers. Everything entered on the filing, signatures included, becomes public record once it is filed.
What does it cost to have you file it?+
One flat service fee plus Wyoming filing & processing, which covers the state's $100 fee and the card and portal processing that goes with it. Both lines show on the checkout page before you pay. The annual report license tax, $60 at minimum, is paid to the state each year and is not part of formation.
