Certificates of good standing: when you actually need one

A certificate of good standing (some states say certificate of existence, or status) is an official state document confirming your company legally exists and is current on its required filings and fees. It's the document a third party trusts instead of your word.

Nobody orders one for fun, it gets requested, usually with a deadline attached.

When someone asks for it

The common triggers: a business loan or SBA application; registering to do business in another state (foreign qualification), which almost always requires a recent certificate from your home state; landlords, licensing boards, and larger contracts; and any sale or investment, where buyers verify the entity before money moves.

Most requesters also care about freshness, a certificate issued within the last 30 to 90 days is the usual expectation.

If you're not in good standing

The state won't issue the certificate, and the reason is almost always mundane: a missed annual report or an unpaid fee. The fix is to file or pay whatever lapsed, wait for the state to update its records, then order. This is exactly why the annual report deserves a calendar entry, the lapse only ever surfaces when someone's waiting on the certificate.

Getting one

You can order directly from your Secretary of State for just the state's certificate fee, typically $5–$50, issued electronically in most states. Check your standing on the state's business search first, so you don't pay for a certificate it will refuse.
