An LLC for Your Airbnb or Short-Term Rental

A short-term rental is a business with guests arriving every few days, which is exactly the kind of activity owners prefer to run through a company. Hosts form an LLC so the listing, the guest agreements, the cleaning and the income all belong to a company rather than to them personally, and so that a guest's claim is a claim against that company.

The state filing itself is the same one any LLC uses. What is specific to hosting is the order of operations: the city or county's short-term rental permit, the platform account, the bank account and the insurance all want the company's name on them, so the LLC usually comes first.

Why an LLC for This

  • A company name on the listing and the permit

Many cities require a short-term rental registration or permit, and most will issue it to a company. Having the LLC approved before you apply means the permit, the platform payout account and the tax registrations all match from the start.

  • Guest claims land on the company

A guest who slips on the stairs sues the host. If the host is an LLC that owns or leases the property and runs the listing, that is who gets sued. Platform host protection has limits and exclusions, so the company plus a proper short-term rental insurance policy is the usual setup.

  • Clean numbers for a business that has a lot of them

Cleaning fees, supplies, platform fees, occupancy taxes, utilities: a short-term rental has more transactions than a long-term one. One company account with everything flowing through it keeps the records straight.

What the Application Asks You to Decide

Which state
The state where the rental is. A short-term rental is operated in that state, so an out-of-state LLC would have to register there as a foreign company as well. Hosts with units in two states usually end up with a company in each.
The company name
The state checks that the name is distinguishable from existing companies and carries an LLC designator. The guest-facing listing name does not have to match; many hosts use a plain company name and a friendlier listing title.
Members and management
A couple hosting one unit together is a two-member, member-managed LLC. If one person will handle guests and bookings, manager-managed makes that explicit in the operating agreement.
Registered agent
Required in every state, with a street address there. A host who lives in the state can serve. Remote hosts use a registered agent service so legal notices do not go to a lockbox-equipped rental.

After the State Approves It

  • Apply for the city or county short-term rental permit, if one is required, in the company's name.
  • Open the company bank account and move the platform payout to it.
  • Register for lodging and sales tax where the platform does not collect it for you; the requirement is set by the state and city, not by the platform.
  • Replace the homeowner's policy with a short-term rental policy that names the LLC.
  • Calendar the annual report your state requires.

Questions

Does my platform account need to be in the LLC's name?+

The platforms allow a company as the host account and payout recipient. Switching an existing personal account to a company is handled inside the platform's settings once the LLC exists and has a bank account.

Does the LLC replace short-term rental insurance?+

No. The company decides who is liable; the policy decides who pays. Hosts generally carry both.

I rent out a room in my own home. Is an LLC still useful?+

It can be, though with a home you also live in the separation between company and owner is harder to keep clean, and a mortgaged primary residence is rarely transferred to a company. Many room hosts form the LLC for the business side (listing, income, permits) and leave the house in their own name. A professional can tell you what fits.

How long until I can list under the company?+

The LLC can be listed as soon as the state approves it. Some states approve online filings in a day; others take a few weeks. Your state's page shows its typical processing, and same-day submission gets the filing to the state faster on our end.

How fast is the filing submitted?+

On a standard order your filing goes to the state within 3 business days. Choose same-day submission and an order placed before 2 PM Eastern on a business day goes in that day. The state's own review time comes after that and varies by state.
