An LLC for Day Trading

Active traders form an LLC to give the trading a business identity: the brokerage account is the company's, the capital is the company's, the records are the company's. Some do it to bring in a partner's capital under a written agreement. Some do it because their accountant has a plan that involves the company electing a particular tax treatment.

What the LLC does not do by itself is change how trading gains are taxed. A single-member LLC is disregarded for federal income tax, and trader tax status is a separate question decided by the IRS on how you actually trade, not on whether you have a company. The entity is the container; the tax plan is a conversation with a professional.

Why an LLC for This

  • A business account at the broker

Brokers open entity accounts for LLCs, with the company as the account holder and the members as authorised traders. The account statements are the company's books.

  • Pooling capital with a partner

A two-person trading company has an operating agreement that says who contributed what, how profits split and who can trade. Without a company, that is a handshake.

  • A structure your accountant can plan around

Elections such as S corporation treatment, retirement plans and deductible business expenses are easier to set up for a company than for an individual's brokerage account. Whether they apply to you is the accountant's call.

What the Application Asks You to Decide

Which state
Your home state, in most cases. Trading from your desk is doing business where the desk is, so an out-of-state company would need to register at home anyway. Traders choosing Wyoming or Delaware for privacy or structure should expect that second registration.
Name
Capital, Trading or Partners after a name of your choice is typical. Avoid anything implying the company is a bank, broker or investment adviser; states and brokers both notice.
Members and management
A solo trader is a single-member, member-managed LLC. Two traders pooling money usually pick manager-managed so the agreement is explicit about who executes trades.
Registered agent
Required in the formation state with a street address there. You can serve yourself if you live in the state.

After the State Approves It

  • Get the company's federal tax number from the IRS; the broker will ask for it to open the entity account.
  • Open the entity brokerage account and a company bank account, then fund them from the members' contributions.
  • Sign the operating agreement, especially if there is a partner.
  • Sit down with an accountant about trader tax status, mark-to-market and any entity election before year end.

General information about how LLCs are commonly used, not legal, tax or investment advice. Whether an LLC, and which structure, fits your situation is a question for an attorney or accountant who knows your facts.

Questions

Does an LLC give me trader tax status?+

No. Trader tax status depends on the frequency, volume and continuity of your trading, judged by the IRS on the facts. An LLC can hold a trading business that qualifies, but the company does not create the status.

Can I move my existing brokerage account into the LLC?+

Brokers typically open a new entity account and transfer positions in, rather than re-titling a personal account. Ask the broker for its entity account requirements before you form the company so the paperwork lines up.

Is an LLC or a corporation better for trading?+

Most individual traders use an LLC for its flexibility; the company can later elect corporate or S corporation tax treatment if the plan calls for it. That choice is a tax question for your accountant.

Does the state need to know the company trades securities?+

Not in the formation filing. The application asks for the company name, state, mailing address, members or managers and the registered agent. A general business purpose covers trading for the company's own account.

How fast is the filing submitted?+

On a standard order your filing goes to the state within 3 business days. Choose same-day submission and an order placed before 2 PM Eastern on a business day goes in that day. The state's own review time comes after that and varies by state.
